Tactical Tutoring Services Agreement

This Agreement outlines the terms and conditions for tutoring services provided by Tactical Tutoring, located at 316 N White St, Suite 6, Athens, TN 37303, hereinafter referred to as the "Tutor," to the "Client" (the individual purchasing services) and the "Student" (the individual receiving tutoring services).


1. Definitions

1.1 Tutor: Tactical Tutoring, its employees, or contracted tutors providing educational services.

1.2 Client: The individual or organization purchasing tutoring services.

1.3 Student: The individual receiving tutoring, whether the Client or another party designated by the Client.

1.4 Services: Tutoring sessions, assessments, group instruction, and online instant sessions as specified in purchased packages.

1.5 Packages: Service options detailed at www.tacticaltutoring.com/pricing include but are not limited to: Year, Semester, Quarter, Group, Single and Instant Session bundles. 

1.6 Subscriptions: Service options detailed at www.tacticaltutoring.com/pricing include but are not limited to: budget tier, standard tier, and Top tier. 

1.7 Instant session: Entitles the student to one 30 minute online instant session redeemable anytime a tutor is available. 

1.8 Written communication: any form of textual communication in the between the company and the client including but not limited to: letters, texts or emails. 


2. Payment Terms

2.1 Payment date: Payment is due in full at the time of enrollment or subscription renewal unless a payment plan is explicitly agreed upon in writing.

2.2  Payment Methods: Accepted payment methods include cash, check, credit cards, debit cards, ACH transfers, or other methods outlined by the Tutor.

2.3 Refund Policy:

  • Packages: Any Refunds will be issued at a rate of $25 per session, regardless of the original per-session price paid. This flat rate accounts for administrative expenditures and the time spent preparing individualized instruction outside of scheduled sessions.
  • Monthly Subscriptions: Refunds will not be provided for unused sessions or cancellations.




3. Scheduling and Attendance

3.1 Sessions are scheduled by mutual agreement between the Client and Tutor.

3.2 Clients must notify the Tutor of changes or cancellations at least 24 hours before a scheduled session. Failure to do so will result in forfeiting the missed session.

3.3 Students arriving more than 15 minutes late to a session may forfeit the session, with no refund or rescheduling. 3.4 If a tutor is more than 15 minutes late the session will be refunded as described in section 2.3 and the student will be entitled to a free 30 minute session 


4. Expiration Policy

4.1 Monthly Subscriptions: All sessions must be used within the calendar month. Unused sessions will expire with no refunds.

4.2 Packages: Unused sessions expire two years from the date of purchase. 


5. Use of Recorded Sessions and Consent

5.1 Recording and Usage: The Tutor may record tutoring sessions for quality assurance, training, and promotional use, such as posting content on social media.

5.2 Consent to Recordings: By signing this Agreement, the Client and/or the Student (or their legal guardian if the Student is a minor) expressly consents to the recording and specified uses of the sessions as described herein.

5.3 Privacy Protections: The Tutor will anonymize the Student’s image and identifiable details (e.g., blurring faces) unless explicit written consent is provided for full visibility.

5.5 SMS and email Consent: I consent to receive SMS and email communication from the Company. Clients may opt out of SMS or email communications at any time by replying 'STOP' or sending a written request to Tactical Tutoring.


6. Confidentiality

The Tutor agrees to keep all Students and clients private information confidential and will not share it without the Client's explicit consent, except as required by law.

7. Termination of Services

Either party may terminate this Agreement as follows:

7.1 Client-Initiated Termination

  • The Client may terminate this Agreement at any time by providing a written notice of at least 14 days.
  • Any prepaid but unused tutoring sessions will be refunded according to the refund policy outlined in Section 2.3.

7.2 Company-Initiated Termination

The Company reserves the right to terminate services under the following conditions:

  • The Student engages in disruptive, inappropriate, or abusive behavior during tutoring sessions.
  • The Client or Student fails to adhere to scheduling policies (e.g., repeated cancellations without notice).
  • The Client fails to make timely payments as agreed upon.
  • The Company determines, in good faith, that they are unable to meet the Student’s educational needs.

In such cases, any prepaid but unused sessions will be refunded at a rate of $25 per session, unless termination is due to non-payment, in which case no refund will be issued.

8. Company’s Right to Refuse Service

The Company reserves the right to refuse or discontinue tutoring services under the following conditions:

  • The Client or Student exhibits unprofessional or inappropriate behavior.
  • The Student refuses to participate in lessons or follow the Tutor’s guidance.
  • The Tutor has reason to believe the Student is engaging in academic dishonesty, such as requesting completion of homework, exams, or coursework on their behalf.
  • The Client is found to be reselling or sharing the Tutor’s proprietary materials or recorded sessions without permission.
  • The Tutor determines that continuing services would be detrimental to their business or reputation.

If services are refused or discontinued, the refund policy outlined in Section 7.2 and 2.3 shall apply.

9. Subscription Auto-Renewal and Cancellation

  • Monthly subscriptions automatically renew at the end of each billing cycle unless canceled by the Client.
  • To avoid renewal, the Client must submit a written cancellation request at least 5 days before the next billing cycle.
  • If a Client fails to cancel before the renewal date, no refunds will be issued for the renewed period.


10. Limitation of Liability

The Tutor is not liable for any direct or indirect damages arising from the use of its Services.

In no event shall Tactical Tutoring, its tutors, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of tutoring services, including but not limited to, academic performance, lost educational opportunities,dissatisfaction with tutoring results, test results, or college admissions outcome

11. No Guarantee 


11.1 No Guarantees or Warranties

Tactical Tutoring makes no guarantees, representations, or warranties of any kind, express or implied, regarding the effectiveness, success, or outcomes of its tutoring services. While we strive to provide high-quality educational support and guidance, we do not guarantee any specific improvements in grades, test scores, academic performance, or comprehension of subject matter.

11.2 Student Performance Disclaimer

Student success is influenced by a variety of factors, including but not limited to, the student's effort, consistency in practice, adherence to tutoring recommendations, prior knowledge, and engagement in the learning process. Tactical Tutoring shall not be held responsible for any perceived or actual lack of improvement in academic performance or any failure to achieve a particular goal.

11.3 Independent Learning Responsibility                                                                                                          The student and/or parent/guardian acknowledges that tutoring is a supplementary educational service and that the primary responsibility for learning rests with the student. Tactical Tutoring does not assume any responsibility for completing school assignments, coursework, or examinations on behalf of the student.

12. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. The parties agree to replace any invalid or unenforceable provision with a valid provision that most closely reflects the original intent and economic effect of the unenforceable provision.


13. Force Majeure 

Neither party shall be liable for any failure or delay in performing their obligations under this Agreement due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, public health emergencies, government restrictions, acts of war, terrorism, cyberattacks, power outages, labor strikes, or any other unforeseen circumstances ('Force Majeure Event'). If a Force Majeure Event prevents either party from fulfilling its obligations for more than 30 consecutive days, either party may terminate this Agreement without penalty, provided that any services already rendered shall be paid for in full. Unrendered services will be refunded at a rate of $25 per unused session in the case of a Force Majeure Event.

14. Governing Law

This Agreement is governed by the laws of the State of Tennessee. In the event of a dispute arising from this Agreement, the parties agree to first attempt mediation. If mediation fails, disputes shall be resolved in the courts of McMinn County, Tennessee.


Acknowledgment and Agreement

By signing below, the Client agrees to the terms outlined in this Agreement. This Agreement may be executed electronically, and electronic signatures shall be considered as legally binding as physical signatures.
